Corporate Lawyer

We are partnered with several firms looking for skilled Corporate Attorneys with a minimum of five years of experience to support their business clients on a wide range of corporate and transactional matters. Ideal candidates will be strategic thinkers and problem-solvers with a solid foundation in business law.

Key Responsibilities:

• Advise clients on a broad spectrum of corporate matters, including entity formation, governance, mergers & acquisitions and commercial contracts
• Draft, review, and negotiate complex agreements, including operating agreements, shareholder agreements and purchase agreements
• Assist with corporate transactions from initial planning and due diligence to closing
• Provide day-to-day counseling on operational and legal issues affecting businesses
• Ensure compliance with applicable laws and regulations
• Collaborate with cross-practice teams as needed to support client objectives

Qualifications:

• J.D. from an accredited law school and active Ohio State bar membership in good standing
• 5+ years of experience in corporate law, preferably in a law firm or in-house setting
• Strong drafting and negotiation skills
• Excellent judgment and the ability to manage multiple projects and client needs simultaneously
• Exceptional communication and interpersonal skills
• Ability to work independently and collaboratively in a fast-paced environment
