Base Pay Range: $149,714.21 - $224,571.31 Job Description: The Employment & Corporate Counsel, is a Full Time, Regular position working out of our Inland Imaging Business Center, located in Downtown Spokane, with the average weekly hours expected to be around 50 hours a week. This position is eligible for a 10% scorecard bonus annually, and does have the potential of becoming a hybrid position. Summary: The Employment & Corporate Counsel will serve as the organization's primary legal resource, with a focus on employment and employee relations law and a secondary scope spanning general business, contracts, and governance support across the group of companies. The role is designed for a practicing attorney who combines strong employment law expertise with the generalist instincts required of Employment & Corporate Counsel at a multi-entity, physician-affiliated enterprise. This individual will work directly with the CEO and senior leadership, manage outside counsel relationships, and provide pragmatic, business-informed legal guidance that balances risk with organizational objectives. General Description: The majority of this role will center on employment law and human resources-facing legal support. Inland Imaging employs over a thousand individuals across clinical, administrative, and technology functions, and the organization's growth trajectory will increase the complexity and volume of people-related legal matters. Core Employment Law Responsibilities: Serves as primary legal advisor on all employment and employee relations matters, including discipline, termination, accommodation, leave, and performance management processes Provides day-to-day guidance to HR leadership and operational managers on compliance with federal and Washington State employment law, including WLAD, WFCA, FLSA, ADA, FMLA, Title VII, NLRA, and related statutes Leads or directs the organization's response to EEOC charges, Washington State Human Rights Commission complaints, unemployment claims, and related administrative proceedings Drafts, reviews and maintains employment agreements, offer letters, separation agreements, non-compete and non-solicitation provisions, and confidentiality agreements in compliance with Washington law Ability to research and interpret laws in all states where we have employees (currently at 25) Advises on physician employment agreements, medical director arrangements, and compensation structures in coordination with outside healthcare counsel as appropriate Partners with HR on the development, revision, and enforcement of employment policies and related procedures Conducts or supervises internal workplace investigations, including allegations of harassment, discrimination, retaliation, or policy violations, with appropriate documentation and reporting protocols Manages employment litigation, including coordination with outside litigation counsel, litigation holds, document production, and settlement evaluation Advises on workforce restructuring, reductions in force, and related WARN Act considerations Supports the organization's credentialing and workforce compliance obligations as they intersect with employment law Monitors changes in Washington State and federal employment law and proactively advise leadership on required or recommended organizational responses Secondary Scope: General Business and Governance Beyond employment law, this attorney will provide broad legal support across the group of companies as organizational needs require. The scope reflects the breadth of a multi-entity healthcare enterprise engaged in ongoing growth activity. Contracts and Commercial Matters Reviews, drafts, and negotiates a wide range of commercial agreements, including vendor contracts, service agreements, software and technology agreements, real estate leases, and independent contractor arrangements Maintains and improves contract management systems and processes, including template libraries and signature authority frameworks Supports due diligence and transactional legal review for acquisitions, joint ventures, and strategic partnerships in coordination with outside counsel Advises on general business risk, liability, and insurance matters in coordination with the CFO and outside advisors Corporate Governance Supports the corporate governance needs of Inland Imaging's operating entities and subsidiaries, including board meeting preparation, resolutions, and minute-keeping Advises the CEO and board leadership on governance best practices for physician-owned and jointly owned enterprise structures Assists with physician buyout programs, equity arrangements, and ownership governance questions in coordination with financial and outside legal advisors Supports Nominating Committee and board composition governance matters across affiliated entities Maintains organizational documents, entity records, and corporate filings across the group of companies Litigation and Dispute Management Manages all active and threatened litigation across the group of companies, including engagement and oversight of outside litigation counsel Issues and administers litigation holds as matters arise Evaluates settlement options and provide risk-adjusted recommendations to leadership Maintains litigation tracking across entities to ensure consistent reporting to senior leadership and the board General Duties and Responsibilities: Ability to maintain strict confidentiality within the Inland Imaging companies and Inland's customers. Quarterly quality assurance meeting attendance is required for this position. Attendance is a requirement for this position. Rotates to other shifts and locations as needed. Performs other special projects and duties as assigned. Supervisory, Leadership & Organizational Responsibilities: Reports directly to the Chief Executive Officer and serve as a trusted advisor on legal, risk, and governance matters Partners closely with the Chief Human Resources Officer, Chief Financial Officer, Chief Strategy Officer, and entity presidents on matters within their respective domains Builds and manages relationships with a panel of outside counsel firms covering healthcare, litigation, real estate, tax, and specialty legal matters Interacts regularly with physician-owners, board members, and operational leaders across Inland Imaging and affiliated entities Provides legal education and training to HR, operational managers, and the leadership team on relevant employment law topics Advocacy: Treats all clients with dignity and respect Provides excellent customer service Conforms to Joint Commission and HIPAA regulations Complies with PHI (Protected Health Information) Demonstrates the Inland Imaging Core Values: Show We Care, Do The Right Thing, Maximize Individual Potential, Challenge Convention Qualifications: Education: Juris Doctor (J.D.) from an ABA-accredited law school Experience Required: Minimum of seven years of legal practice experience, with substantial focus on employment law and employee relations Demonstrated experience advising employers on Washington State employment law Experience conducting or supervising workplace investigations Demonstrated ability to serve as a practical, solution-oriented business partner rather than a theoretical legal advisor Strong written and oral communication skills, including the ability to translate complex legal issues into accessible guidance for non-legal audiences High degree of professional judgment, discretion, and integrity consistent with Employment & Corporate Counsel expectations Experience Preferred: Prior Employment & Corporate Counsel experience, or a combination of law firm and in-house experience Experience in healthcare, hospital systems, medical groups, or a related regulated industry Familiarity with physician employment arrangements, medical director agreements, or physician equity structures Experience supporting corporate governance for multi-entity organizations Experience managing outside counsel relationships and legal budgets Knowledge of Washington State-specific employment statutes, including WLAD, WFCA, and the Washington Equal Pay and Opportunities Act Experience in negotiation Experience with healthcare regulatory matters intersecting with employment and contracting (Stark, AKS, HIPAA) Familiarity with labor relations and union-avoidance considerations Experience in real estate or commercial lease review Experience supporting mergers, acquisitions, or joint venture transactions Licensure: Active license to practice law in the States of Washington and Montana, or eligibility and commitment to obtain Washington and Montana licensure within 90 days of hire Certifications: N/A Computer Skills: Outlook; Microsoft Office Suite, Advanced Excel, Word and PowerPoint, Workday, Smartsheet, Webex; etc. Background Check: Must be able to pass a background check required by RCW 43.43.830-840 to work with children under the age of 16, developmentally disabled persons or vulnerable adults In order to comply with provisions set forth in Sections 1128 and 1156 of the Social Security Act, all new employees of Inland Imaging Business Associates will be checked against the LIST OF EXCLUDED INDIVIDUALS provided by the Department of Health & Human Services, Office of the Inspector General (OIG).
