Le(la) conseiller(ere) juridique fournit des conseils juridiques pratiques et opportuns pour soutenir les activites commerciales et operationnelles quotidiennes de McKesson Canada au sein de ses differentes unites daffaires, y compris la negociation de contrats commerciaux et le soutien aux transactions corporatives et commerciales (pouvant notamment inclure, le cas echeant, des transactions de magasins et des questions immobilieres connexes), sous la supervision du Directeur, Affaires juridiques.

- Effectuer des recherches juridiques et reglementaires a lappui des initiatives daffaires corporatives et commerciales, pouvant notamment inclure de nouveaux programmes de pharmacie ou de detail, des services et des offres commerciales.
- Participer a la redaction, a la revision et a la negociation dun large eventail de contrats commerciaux et de documents transactionnels lies aux activites de McKesson Canada.
- Agir a titre de conseiller(ere) juridique dans le cadre de transactions strategiques touchant les unites daffaires de McKesson Canada, en collaboration avec le Directeur, Affaires juridiques et dautres membres experimentes de lequipe juridique, notamment lorsque plusieurs parties prenantes et des enjeux juridiques complexes sont en cause.
- Veiller a ce que les actifs et la reputation de lentreprise soient proteges dans le cadre de toutes les transactions et contribuer activement a lidentification et a lattenuation des risques juridiques et reglementaires lies aux operations de McKesson Canada, y compris les activites de detail.

Section B : Exigences du poste
- Diplome en droit dune universite reconnue et membre en regle du Barreau du Quebec ou du Barreau de lOntario.
- De 3 a 5 ans dexperience en droit des affaires / droit commercial, acquise en entreprise et/ou en cabinet prive.
- Experience en redaction, revision et negociation de contrats commerciaux; la familiarite avec les environnements reglementes constitue un atout.
- Capacite demontree a offrir des conseils juridiques pratiques et a travailler de facon collaborative.
- Solides aptitudes pour lorganisation du travail, avec un bon jugement et de fortes capacites de prise de decision.
- Excellentes habiletes de communication et de relations interpersonnelles.
- Bilinguisme (francais et anglais).
- Demontrer une forte aisance et curiosite a legard des technologies numeriques, y compris la maitrise de lutilisation doutils dintelligence artificielle et ladoption de solutions juridiques et de productivite afin de creer des gains defficacite.

Legal Counsel works in collaboration with the Retail Business Unit management and other McKesson Canada business leaders across various business segments to ensure compliance with applicable local, provincial and federal laws and internal governance standards, with the goal of mitigating legal risk and safeguarding the companys assets and reputation.
Legal Counsel provides timely and practical legal advice to support the day to day business and operational activities of McKesson Canada across its business units, including the negotiation of commercial agreements and support for corporate and business transactions (which may include, as applicable, store transactions and related real estate matters), under the guidance of the Director, Legal Affairs.
Section A Specific Responsibilities- Provides timely and practical legal advice as it relates to the corporations daytoday corporate and commercial business and operational activities across Canada.
- Conducts legal and regulatory research in support of corporate and commercial business initiatives, which may include new pharmacy or retail programs, services and commercial offerings.
- Assists in the drafting, review and negotiation of a broad range of commercial agreements and transactional documents involving McKesson Canadas businesses.
- Acts as legal advisor on strategic business transactions affecting McKesson Canadas business units, in collaboration with the Director, Legal Affairs and other senior legal team members, including transactions involving multiple stakeholders and complex legal issues.
- Ensures that the companys assets and reputation are protected in all transactions and actively contributes to identifying and mitigating legal and regulatory risks associated with McKesson Canadas operations, including retail activities.
- Conducts legal risk assessments for proposed corporate and commercial business and operational decisions and collaborates with business leaders to develop appropriate risk mitigation strategies.
- Develops and maintains a strong proficiency in the interpretation and application of regulations applicable to McKesson Canadas activities, which may include regulations related to the distribution and sale of pharmaceutical products, pharmacy practice and other laws applicable to healthcare, and remains abreast of new industryrelated regulatory and legal developments.
- Provides legal guidance and regular updates to management on commercial, regulatory and compliance issues affecting McKesson Canadas businesses, including issues arising from interactions with regulatory authorities.
- Participates in crossfunctional initiatives and projects, such as impact assessments related to new legislation, service offerings or products, and riskmanagement initiatives for McKesson Canada.
- Collaborates effectively with other corporate functions (e.g., Compliance, Privacy, Real Estate, Finance, HR, Operations) to support the implementation of company policies and compliance programs within McKesson Canadas business units.
- Provides training on new or emerging legal, regulatory and compliance issues to other employees and, where appropriate, to business stakeholders.

Section B Position Requirements
- Law degree from a recognized University and member in good standing of the Quebec or Ontario Bar
- 3 to 5 years corporate/commercial experience acquired inhouse and/or in private practice
- Demonstrates strong digital and technology dexterity and curiosity including proficiency in the use of AI tools and adoption of legal and productivity solutions to create efficiencies
- Experience drafting, reviewing and negotiating commercial agreements. Familiarity with regulated environments an asset
- Proven ability to provide practical legal advice and to work collaboratively
- Strong organization skills with sound judgment and decisionmaking abilities
- Effective communication and interpersonal skills
- Exemplary professionalism and integrity
- Bilingual (French and English)
- Background in litigation would be an asset
- This is a hybrid role, with in-office attendance two days per week
The incumbent of this position will provide daily support to internal and/or external clients outside Quebec and/or in the United States.
